SimpleFeed, Inc. – API Terms

The following API Terms (“API Terms”) govern your use of the APIs for the purpose of enabling you, as a SimpleFeed customer, to make calls to SimpleFeed in order to receive Publisher Content with Enriched Data from the functionality of the Services. SimpleFeed is willing to grant you the rights set forth below, subject to and in accordance with these API Terms. Capitalized terms contained in these API Terms that are not defined in these API Terms have the meaning ascribed to them in the SimpleFeed Content Sublicensing Agreement (the “Terms”). In the event of any conflict or inconsistency between these API Terms and the Terms regarding use of the APIs, these API Terms will prevail.
- API Rights. Subject to your compliance with the terms and conditions of these API Terms, SimpleFeed grants you a nonexclusive right to access and use the APIs and, as applicable, make use of the functionality of the services that SimpleFeed makes available via the APIs. SimpleFeed reserves all rights in and to the APIs not expressly granted to you in these API Terms. The APIs may include open source or third party software, and such software is made available to you under the terms of the applicable licenses. You may need to create an account to access and use the APIs. You are responsible for safekeeping your account credentials and for all activities that occur under or in connection with your account, or are otherwise attributable to your account credentials, whether or not you know about them.
- Restrictions. You will not at any time and will not permit any third party to, directly or indirectly: (i) use the APIs in any manner beyond the scope of rights expressly granted in these API Terms; (ii) reverse engineer, disassemble, decompile, decode, or attempt to bypass any security measures to any software component of the APIs; (iii) use or access the APIs for purposes of monitoring the availability, performance, or functionality of any services or for any other benchmarking or competitive purpose; (iv) frame, mirror, sell, resell, rent or lease use of the APIs to any third party; (v) use the APIs in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property rights or other rights of any third party, or violates applicable law; (vi) interfere with, or disrupt the integrity or performance of, the APIs; (vii) transfer, sublicense or otherwise distribute the APIs to any third party; (vi) transmit any viruses or harmful code in your use of the APIs; or (ix) copy or modify the APIs, in whole or in part. SimpleFeed may set limits on the number of API calls that you can make or anything else about the APIs at its sole discretion without notice. For example, we may limit your API calls in the interest of service stability. If you exceed the limits, SimpleFeed may moderate your activity or cease offering you access to the APIs altogether in SimpleFeed’s sole discretion.
- Updates and Revisions to APIs. SimpleFeed may update or revise the APIs from time to time and such updates and revisions may adversely affect the manner in which you access or communicate via the APIs. You are responsible, at your expense, for making any changes to your usage as required as a result of SimpleFeed’s updates and revisions to the APIs.
- Confidential Information. You may be given access to certain non-public information, software or specifications relating to the APIs (“Confidential Information”), which is confidential and proprietary to SimpleFeed. You may use Confidential Information only as necessary in exercising your rights granted in these API Terms. You may not disclose any Confidential Information to any third party without SimpleFeed’s prior written consent. You will protect Confidential Information from unauthorized use, access or disclosure in the same manner and to at least the same extent that you would use to protect your own confidential and proprietary information of similar importance, but in any event, you will use your reasonable efforts.
